RIGHT USAGE TERMS
FOR AUTHORIZED CLIENTS ONLY*
1. License Grant: a. The photographer grants the client a non-exclusive, non-transferable license to use the photographs as specified in this agreement. b. The license is granted solely for the client's personal or internal business use.
2. Scope of Use: a. The client may use the photographs for purposes including but not limited to: website publication, social media, advertising, editorial content, and personal display. b. The client may not sublicense, resell, or distribute the photographs without prior written consent from the photographer.
3. Ownership and Copyright: a. The photographer retains all copyright and ownership rights to the photographs. b. The client may not claim ownership or authorship of the photographs.
4. Alterations: a. The client may not alter or modify the photographs without prior written consent from the photographer. b. Minor alterations for sizing or cropping are permitted for the intended use, provided the overall integrity of the photograph is maintained.
5. Credit and Attribution: a. The client agrees to provide appropriate credit to the photographer whenever the photographs are used, unless otherwise agreed upon in writing. b. Credit should be displayed in a clear and conspicuous manner, adjacent to the photograph or in the image caption.
6. Exclusivity: a. Unless otherwise specified, the license granted is non-exclusive. b. The photographer reserves the right to license the photographs to other parties for different uses.
7. Term and Termination: a. This agreement is effective as of the date of delivery of the photographs and shall remain in effect until terminated. b. Either party may terminate this agreement upon written notice if the other party breaches any material term and fails to remedy the breach within a reasonable period.
8. Indemnification: a. The client agrees to indemnify and hold harmless the photographer from any claims, damages, or liabilities arising out of or related to the client's use of the photographs in violation of this agreement.
9. Governing Law: a. This agreement shall be governed by and construed in accordance with the laws of Louisiana. b. Any disputes arising out of or related to this agreement shall be resolved through arbitration in New Orleans, Louisiana, in accordance with the rules of the American Arbitration Association.
10. Entire Agreement: a. This agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether oral or written.
* By accepting the delivery of the photographs, the client agrees to be bound by the terms and conditions of this agreement.
